Recqa Circle Terms of Service

These Terms of Service ("Terms") govern your access to and use of Recqa Circle's website, platform, communities, content, payments, communications, and related services (the "Services"). The Services are operated by Recqa Circle ("Recqa Circle", "we", "us", or "our").
This document is intended as an operational draft for review by qualified legal counsel before publication.
By accessing or using the Services, creating an account, joining a community, purchasing a subscription, publishing content, administering a community, or otherwise interacting with the platform, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be legally capable of entering into a binding agreement and must meet any minimum age required by applicable law. If you use the Services on behalf of a company, organization, community, or other entity, you represent that you have authority to bind that entity to these Terms.
We may refuse access, suspend accounts, or terminate accounts at our discretion where we believe eligibility requirements are not met.
2. Platform Role
Recqa Circle is a technology platform for communities, memberships, content, courses, resources, communications, and related services.
Unless expressly stated otherwise:
- we are not a party to agreements between community owners and their members;
- we do not guarantee the quality, legality, safety, accuracy, availability, or value of communities, courses, resources, user-generated content, or services offered by community owners;
- community owners, administrators, instructors, and users are responsible for their own content, conduct, representations, offers, pricing, refunds, tax obligations, and legal compliance;
- we may provide platform tools, moderation tools, payment integrations, hosting, storage, email, analytics, and operational support without becoming responsible for user or community obligations.
3. Accounts
You are responsible for:
- providing accurate account information;
- keeping your login credentials secure;
- all activity under your account;
- promptly notifying us of unauthorized access;
- maintaining a valid email address;
- complying with these Terms and applicable law.
We may require email verification, identity checks, additional security steps, or administrative approval. We may reject usernames, community names, profile content, or account information that we consider misleading, infringing, offensive, risky, or inappropriate.
4. Community Owners and Administrators
If you create, own, administer, moderate, teach in, or manage a community, you are responsible for:
- your community rules, policies, descriptions, pricing, offers, and promises;
- member onboarding, approval, suspension, banning, and moderation decisions;
- content, courses, resources, messages, announcements, and files you publish or approve;
- compliance with consumer protection, privacy, marketing, intellectual property, tax, payment, employment, education, and other applicable laws;
- obtaining rights, consents, licenses, and permissions for content and personal data you upload or process;
- handling member disputes, refund requests, complaints, and service expectations unless we choose to assist;
- ensuring your administrators, instructors, staff, contractors, and agents comply with these Terms.
We may remove, restrict, suspend, demote, or terminate a community or administrator if we believe there is legal, operational, reputational, security, financial, user-safety, or platform risk.
5. User-Generated Content
"User Content" means any content submitted, uploaded, posted, published, transmitted, generated, stored, or otherwise made available through the Services by users, community owners, administrators, instructors, or members.
You retain ownership of your User Content, subject to the license you grant below. You are solely responsible for your User Content and the consequences of posting or sharing it.
You represent and warrant that:
- you have all rights needed to submit and use the User Content through the Services;
- your User Content does not infringe intellectual property, privacy, publicity, confidentiality, contractual, or other rights;
- your User Content is accurate where accuracy is required and not misleading, unlawful, harmful, or deceptive;
- your User Content does not contain malware, harmful code, or unauthorized data collection mechanisms;
- your User Content complies with these Terms, community rules, and applicable law.
6. License to User Content
By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, process, transmit, display, publish, distribute, modify, format, adapt, translate, create derivative works from, and otherwise use your User Content as necessary or useful to:
- provide, operate, secure, and improve the Services;
- display content to intended audiences;
- support community, course, resource, moderation, search, analytics, notification, and administrative features;
- create backups and technical copies;
- enforce these Terms and comply with law;
- promote the Services, provided we do not use private community content in public marketing without appropriate permission.
This license continues for as long as needed for the purposes above, including after account closure where content remains in communities, backups, audit logs, legal records, transaction records, or shared discussions.
7. Prohibited Conduct
You must not:
- violate any law, regulation, court order, or third-party right;
- post unlawful, defamatory, harassing, abusive, hateful, violent, exploitative, obscene, deceptive, fraudulent, or harmful content;
- infringe intellectual property, privacy, publicity, or confidentiality rights;
- upload malware, viruses, spyware, harmful code, or disruptive material;
- scrape, harvest, or collect data without authorization;
- attempt to bypass access controls, authentication, rate limits, payment controls, suspension, bans, or security measures;
- interfere with, overload, reverse engineer, probe, scan, or attack the Services;
- impersonate others or misrepresent affiliation, credentials, endorsements, or authority;
- use the Services for spam, unsolicited marketing, phishing, credential harvesting, pyramid schemes, or deceptive commercial practices;
- manipulate payments, refunds, payouts, reviews, metrics, leaderboards, badges, or platform systems;
- use the Services to build or train competing products except as permitted by law and written agreement;
- assist or encourage others to violate these Terms.
8. Moderation and Enforcement
We may, at our sole discretion and without liability:
- review, remove, edit, restrict, demote, label, disable, or preserve content;
- suspend, ban, restrict, or terminate users, communities, administrators, groups, courses, resources, payments, payouts, or features;
- investigate suspected violations;
- report conduct to authorities or third parties;
- preserve or disclose data as required or permitted by law;
- reverse transactions or withhold payouts where allowed by law or payment-provider rules;
- take any action we consider necessary to protect users, communities, the platform, third parties, or our business.
We have no obligation to monitor all content or disputes and are not liable for failing to remove content unless applicable law says otherwise.
9. Payments, Subscriptions, Fees, and Payouts
Some Services, communities, courses, resources, memberships, subscriptions, or features may be paid.
You agree to:
- pay all applicable fees, taxes, charges, and payment-provider costs;
- provide accurate billing and payment information;
- comply with payment-provider terms;
- authorize us and our payment providers to charge applicable amounts;
- accept that prices, plans, commissions, and features may change.
Payments may be processed by third-party payment processors. We are not responsible for payment-provider outages, declines, holds, reserves, chargebacks, disputes, account closures, or compliance actions.
Community-owner payouts may be subject to:
- platform commissions;
- payment processor fees;
- minimum payout thresholds;
- reserves, holds, refunds, chargebacks, disputes, fraud checks, sanctions screening, tax checks, or compliance review;
- deduction or reversal for refunds, chargebacks, negative balances, penalties, or suspected misuse;
- delay or refusal where required by law, provider rules, or platform risk controls.
We may change payout rules, commissions, currencies, payment methods, and payout schedules with notice where required.
10. Refunds
Unless required by law or expressly stated in a separate written policy:
- fees are non-refundable;
- subscription fees are billed for the selected period;
- failure to use a paid service does not entitle you to a refund;
- community owners are primarily responsible for refund promises they make to members;
- we may approve or deny refunds at our discretion;
- refunds may exclude payment processing fees, platform fees, taxes, currency conversion costs, and already-delivered services.
11. Email and Communications
You agree that we may send transactional, administrative, security, billing, service, legal, and account-related communications. You may receive community communications depending on your memberships and preferences.
Marketing communications may be subject to unsubscribe controls. We may suppress or restrict emails where messages bounce, recipients complain, users unsubscribe, or continued sending creates deliverability, legal, or platform risk.
12. Privacy
Our processing of personal data is described in our Privacy Policy. By using the Services, you acknowledge our Privacy Policy.
Community owners and administrators are responsible for their own privacy compliance where they independently collect, use, export, message, or otherwise process member data.
13. Intellectual Property
We and our licensors own the Services, platform software, designs, interfaces, trademarks, logos, documentation, templates, workflows, databases, analytics, and other platform materials, except for User Content and third-party materials.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from our platform except as expressly permitted by these Terms or applicable law.
No rights are granted except those expressly stated.
14. Feedback
If you provide feedback, suggestions, ideas, bug reports, or recommendations, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation.
15. Third-Party Services
The Services may integrate with third-party providers for hosting, storage, email, payments, analytics, media, AI, authentication, domains, or other functions. Third-party services are governed by their own terms and policies.
We are not responsible for third-party services, outages, data practices, pricing, failures, security incidents, compliance actions, or decisions.
16. AI and Automated Features
The Services may include AI, automation, recommendations, moderation assistance, content generation, search, summarization, analytics, or similar features.
AI or automated outputs may be incomplete, inaccurate, biased, unavailable, or unsuitable for your use. You are responsible for reviewing outputs before relying on them. We are not liable for decisions made based on AI or automated outputs.
17. Availability and Changes
We may modify, suspend, discontinue, limit, or replace any part of the Services at any time. We do not guarantee uninterrupted availability, error-free operation, data recovery, specific feature behavior, deliverability, rankings, revenue, engagement, search visibility, or compatibility.
We may impose limits on storage, bandwidth, file types, emails, communities, members, courses, API usage, AI usage, or other resources.
18. Beta and Experimental Features
Beta, preview, test, experimental, or early-access features are provided as-is, may change or be discontinued at any time, and may be subject to additional risks, limitations, or data loss.
19. Suspension and Termination
We may suspend or terminate your access, account, community, content, payments, payouts, or features at any time if:
- you violate these Terms;
- we suspect fraud, abuse, security risk, unlawful conduct, or payment risk;
- required by law, regulator, court, or payment provider;
- your use creates legal, reputational, operational, financial, security, or user-safety risk;
- your account is inactive;
- we discontinue the Services or relevant features.
You may stop using the Services at any time. Account closure does not relieve you of payment obligations, liabilities, indemnities, or obligations that should reasonably survive.
20. Data Loss and Backups
We may maintain backups for operational purposes, but we do not guarantee that any content or data can be recovered. You are responsible for maintaining your own copies of important content, records, files, and data.
21. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.
We disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, uninterrupted operation, and error-free performance.
We do not warrant that:
- communities, courses, resources, or user content will meet your expectations;
- users or community owners will comply with their obligations;
- payments, emails, notifications, analytics, AI outputs, search, or moderation tools will be accurate or uninterrupted;
- defects will be corrected;
- data will never be lost or accessed without authorization.
22. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including loss of profits, revenue, goodwill, data, content, business opportunity, reputation, or anticipated savings.
To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of:
- the amount you paid directly to us for the Services in the three months before the event giving rise to the claim; or
- RM 100.
These limits apply whether the claim is based on contract, tort, negligence, strict liability, statute, equity, or any other legal theory, even if we were advised of the possibility of damages.
23. Indemnity
You agree to defend, indemnify, and hold harmless Recqa Circle, its owners, directors, officers, employees, contractors, affiliates, service providers, licensors, and agents from and against all claims, liabilities, damages, losses, costs, expenses, penalties, fines, and fees, including reasonable legal fees, arising from or relating to:
- your use of the Services;
- your User Content;
- your community, courses, resources, products, services, representations, or promises;
- your violation of these Terms;
- your violation of law or third-party rights;
- your privacy, marketing, payment, tax, consumer-protection, or intellectual-property obligations;
- disputes between you and another user, member, community owner, administrator, instructor, or third party;
- your fraud, negligence, willful misconduct, or misuse of the Services.
We may control the defense of any matter subject to indemnification, and you agree to cooperate with us.
24. Disputes Between Users
You are solely responsible for disputes with other users, members, community owners, administrators, instructors, customers, or third parties.
We may choose to assist with disputes but have no obligation to do so. You release us from claims, demands, and damages arising out of or related to such disputes to the maximum extent permitted by law.
25. Governing Law and Jurisdiction
These Terms are governed by the laws of Malaysia, without regard to conflict-of-laws rules.
Subject to any mandatory consumer-protection laws, the courts of Malaysia will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.
26. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted with a revised effective date. If changes are material, we may provide additional notice through the Services, email, or other reasonable means.
Your continued use of the Services after changes become effective means you accept the updated Terms.
27. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, financing, restructuring, sale of assets, or operation of law.
28. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.
29. No Waiver
Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
30. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms that apply to specific features, constitute the entire agreement between you and us regarding the Services.
